Stage 2: Platform onboarding

Getting set up on the platform

  • Complete Tokeniser's entity verification process for the fund manager and the fund, including entity documentation and the platform's onboarding requirements.
  • Configure administrator accounts for the team members who will manage the register. Define user roles and access levels.
  • If migrating an existing fund, prepare a complete and verified copy of the existing investor register. Verify holder data for accuracy before migration begins.

Stage 3: Compliance configuration

Configured before any token is issued

  • Define the investor eligibility criteria for the fund: wholesale investor only, sophisticated investor, or another applicable classification under the Corporations Act.
  • Configure KYC/AML verification requirements for investor onboarding. Define the documents and verification steps required for Australian and international investors.
  • Set transfer restrictions: lock-up periods, permitted transferee classes, minimum holding periods, and any fund-specific restrictions required by the constitutional documents.
  • Configure foreign ownership limits if applicable. Define the maximum percentage of the register that can be held by foreign investors, and the eligibility criteria for international investors.
  • Review and confirm all compliance parameters with your legal adviser before tokens are issued.

Stage 4: Investor register establishment

Going live

  • For new funds: issue tokens to founding investors following completion of their digital onboarding. The on-chain register is established from the first token issuance.
  • For existing funds migrating: communicate the migration to existing investors well in advance. Explain what is changing, what they need to do, and the timeline for migration.
  • Complete digital onboarding for all existing investors before migration. No investor can hold tokens until their wallet is verified.
  • Execute the migration and verify the migrated register against the existing records. Confirm accuracy before activating the on-chain register as the register of record.
  • Retire the traditional register once the on-chain register is confirmed as accurate and activated as the register of record.

Ongoing administration

Once the register is live, four processes carry the fund forward.

  • Establish processes for capital calls, distributions, and other corporate actions through the Tokeniser platform, and train administration staff on the interface.
  • Establish a process for onboarding new investors: digital onboarding, wallet verification, and token issuance.
  • Review compliance parameters periodically and following any change to your constitutional documents or regulatory obligations.
  • Maintain your AML/CTF programme and conduct regular compliance reviews consistent with your regulatory obligations.
